NOVA TERMS & CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY 

 

1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, whether as an individual or acting on behalf of an entity (“you”), and SalesWorks Group and its Affiliates (“SalesWorks,” “we,” “us,” or “our”), governing your access to and use of the Nova mobile application (“Nova”), including any related content, features, functionality, platform integrations, mobile websites, and associated services offered through Nova (collectively, the “Platform”). 

By accessing, downloading, installing, or using any part of Nova, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with any supplemental terms, policies, or notices that are incorporated by reference. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS IN FULL, YOU ARE EXPRESSLY PROHIBITED FROM USING NOVA AND MUST IMMEDIATELY DISCONTINUE ALL USE. 

We reserve the right, in our sole discretion, to modify, amend, supplement, or replace any part of these Terms at any time and for any reason, without prior notice. Changes shall be effective upon publication within Nova, and the “Last Updated” date at the top of the Terms shall reflect the current version. It is your responsibility to review these Terms periodically. Your continued access or use of Nova following the posting of changes constitutes your acceptance of such changes. 

Nova is not intended for use in any jurisdiction or territory where access or usage would be unlawful, restricted, or subject to regulatory approval or registration. If you access or use Nova from outside a jurisdiction where SalesWorks operates, you do so at your own initiative and are solely responsible for compliance with all applicable local laws and regulations. 

Nova is intended only for users who are at least eighteen (18) years of age, or the age of legal majority in their jurisdiction of residence, whichever is greater. If you are considered a minor under the laws of your jurisdiction, you may only access or use Nova under the supervision and with the explicit consent of your parent or legal guardian, who must read and agree to these Terms on your behalf. 

  

2. INTELLECTUAL PROPERTY RIGHTS

Unless expressly stated otherwise, Nova and all content, features, functionality, and proprietary materials contained therein including but not limited to source code, object code, databases, software, audio, video, text, photographs, graphics, visual interfaces, designs, interactive elements, documentation, and all trademarks, logos, service marks, and trade names (collectively, the “Content”) are the exclusive property of SalesWorks Group and its Affiliates, or are licensed to us and protected under applicable copyright, trademark, trade secret, and other intellectual property laws and international treaties. 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Nova and its Content solely for your internal, personal, non-commercial use, and strictly in accordance with these Terms. 

Except as expressly permitted by us in writing, you shall not: 

All rights not expressly granted in these Terms are fully reserved by SalesWorks Group and its Affiliates. 

Any use of Nova or its Content other than as specifically authorized herein, without the prior written permission of SalesWorks, is strictly prohibited and may result in the termination of your access and enforcement of our legal rights, including claims for damages, injunctive relief, and other remedies available under law. 


3. USER REPRESENTATIONS

By accessing or using Nova, you represent, warrant, and undertake that: 

  1. All information you submit during registration or in connection with your use of Nova is and will remain true, accurate, current, and complete; 

  2. You will maintain and promptly update such information as necessary to ensure it remains accurate and complete; 

  3. You have the full legal capacity and authority to enter into and comply with these Terms, and if acting on behalf of an entity, you are duly authorized to bind such entity to these Terms; 

  4. You are not a minor under the laws of your jurisdiction, or if you are a minor, you have obtained verifiable consent from your parent or legal guardian and are under appropriate supervision; 

  5. You will not access or use Nova through any automated or non-human means, including bots, scripts, crawlers, or other similar technologies, unless explicitly authorized by SalesWorks; 

  6. You will not use Nova for any unlawful, unauthorized, fraudulent, or abusive purposes; 

  7. Your access to and use of Nova does not and will not violate any applicable laws, regulations, or third-party rights in your jurisdiction or elsewhere; 

  8. You will not impersonate any person or entity, misrepresent your affiliation, or otherwise provide misleading information; 

  9. You will use Nova solely in accordance with these Terms and applicable internal policies of SalesWorks Group and its Affiliates. 

 

SalesWorks reserves the right to suspend, disable, or terminate your access to Nova without notice if we believe, in our sole discretion, that any representation or warranty provided above is untrue, misleading, incomplete, or breached in any way. We may also pursue any other remedies available to us under applicable laws, including civil and criminal actions where warranted. 

  

4. USER REGISTRATION

You may be required to register an account to access or use certain features of Nova. You agree to maintain the confidentiality of your login credentials, including your username and password, and accept full responsibility for all activities that occur under your account. 

 

You further agree to: 

(1) not share your credentials with any unauthorized person or entity; 

(2) immediately notify us of any unauthorized use, suspected breach, or compromise of your account; and 

(3) ensure that you log out and secure your account appropriately after each session. 

We reserve the right, in our sole discretion, to reject, remove, reclaim, or reassign any username you select if we determine it is misleading, impersonates another individual or entity, or is otherwise inappropriate, offensive, obscene, or contrary to our policies or values. 

Your continued access to Nova is conditional upon your adherence to this Section and the broader Terms of Use. 


5. PROHIBITED ACTIVITIES

You may access and use Nova only for purposes expressly authorized by SalesWorks. You must not use Nova for any unlawful, unauthorized, exploitative, or prohibited purpose, including any commercial activities not explicitly approved by us in writing. 

As a condition of your access to Nova, you agree not to: 

Any violation of this Section may result in the immediate suspension or termination of your access to Nova, and may expose you to civil, criminal, or regulatory consequences as permitted under applicable laws. 

 

6. USER GENERATED CONTENT

Nova may offer features that allow you to submit, post, publish, display, transmit, or otherwise make available content, materials, or communications on or through the platform, including but not limited to text, images, audio, video, graphics, suggestions, reviews, feedback, data, or personal information (“Contributions”). These Contributions may be visible to other users of Nova or on external platforms integrated with Nova. 

You acknowledge and agree that: 

By posting or submitting Contributions, you represent and warrant that: 

  1. You own or control all intellectual property rights in your Contributions, or have obtained all necessary consents, licenses, permissions, and releases to post and allow our use of such Contributions under these Terms; 

  2. Your Contributions do not infringe upon or misappropriate the rights of any third party, including but not limited to copyrights, patents, trademarks, trade secrets, moral rights, privacy rights, publicity rights, or contractual rights; 

  3. You have secured verifiable consent from any identifiable individuals featured in your Contributions for the use of their name, likeness, image, or other personal data; 

  4. Your Contributions are not false, misleading, deceptive, or submitted under false pretenses; 

  5. Your Contributions do not constitute unauthorized advertising, promotional material, junk mail, spam, chain letters, pyramid schemes, or other forms of solicitation; 

  6. Your Contributions are not obscene, defamatory, libelous, offensive, indecent, sexually explicit, harassing, hateful, threatening, or otherwise objectionable, as determined at our sole discretion; 

  7. Your Contributions do not promote violence, discrimination, or hatred on the basis of race, ethnicity, gender, religion, nationality, sexual orientation, disability, or any other protected characteristic; 

  8. Your Contributions do not incite or encourage unlawful activity or acts of physical harm against others; 

  9. Your Contributions do not violate any law, regulation, or governmental requirement; 

  10. Your Contributions do not exploit, endanger, or solicit information from minors, or violate any child protection laws including those governing child pornography or harmful online content; 

  11. Your Contributions do not include any spyware, malware, viruses, or passive data collection mechanisms such as cookies, pixel tags, or hidden scripts; 

  12. Your Contributions are not intended to abuse, ridicule, mock, intimidate, threaten, or disparage any individual, company, or group; and 

  13. Your Contributions do not link to or promote any content that violates these Terms, local laws, or third-party rights. 

Any Contributions made in violation of this Section may result in immediate removal of the content, suspension or termination of your user account, and referral to law enforcement or regulatory authorities, as deemed appropriate by SalesWorks. 

SalesWorks expressly reserves all rights, including legal recourse, to address any violation of this Section to the fullest extent permitted by law. 


7. CONTENT LICENSE

By submitting, uploading, linking, or otherwise making available any Contributions (as defined above) through Nova or any connected social media or third-party platform, you hereby grant SalesWorks Group and its Affiliates a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use your Contributions for any lawful purpose. 

This license includes the rights to: 

You expressly waive any and all moral rights or rights of attribution associated with your Contributions, and you confirm that no such rights have been asserted by any third party. 

Ownership and Responsibility 

You retain ownership of any intellectual property rights in your Contributions. SalesWorks does not claim ownership over the original material you submit, except for the license rights granted herein. 

However, by posting or submitting Contributions, you represent and warrant that: 

You remain solely responsible for the content and legality of your Contributions. SalesWorks expressly disclaims any responsibility or liability arising from your Contributions, including any reliance by third parties on the accuracy or legality of your content. 

Moderation and Editorial Rights 

SalesWorks reserves the right, at its sole discretion, to: 

Review, moderate, or pre-screen Contributions before or after publication; 

  1. Edit, remove, reclassify, or relocate Contributions for clarity, compliance, or formatting; 
  2. Delete or disable access to any Contribution without prior notice for any reason deemed appropriate by SalesWorks, including violation of these Terms. 

We are under no obligation to monitor, retain, or host any Contributions, and we disclaim any liability related to the removal or failure to store such content. 

  

8. REVIEWS AND FEEDBACK

Nova may include features that allow you to post ratings, testimonials, comments, or reviews regarding your experience with users, campaigns, services, or features (collectively, “Reviews”). By submitting a Review, you agree to comply with the following conditions: 

  1. You have direct and verifiable experience with the person, entity, or feature being reviewed; 

  2. Your Review is truthful, respectful, and based on genuine personal experience; 

  3. Your Review must not contain any abusive, defamatory, vulgar, or otherwise offensive language, including profanity or hate speech; 

  4. Your Review must not reference or promote any discriminatory content, including but not limited to religion, race, gender, nationality, age, marital status, sexual orientation, or disability; 

  5. Your Review must not reference illegal or unlawful activity or imply criminal conduct; 

  6. You may not submit Reviews if you have a direct or indirect conflict of interest, including affiliation with a competitor, or if intended to mislead or manipulate reputation; 

  7. You may not draw legal conclusions, make unsubstantiated claims, or accuse others of violations of law or policy; 

  8. You may not post any false, exaggerated, or misleading statements; 

  9. You may not engage in coordinated efforts to influence Reviews, including campaigns to post mass positive or negative feedback. 

 

9. MOBILE APPLICATION LICENSE

User License 

If you access Nova via a mobile application, SalesWorks Group grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the application solely on your personal, legally owned or controlled mobile device and solely for your internal, lawful, and non-commercial use. 

You agree not to: 

  1. Decompile, reverse engineer, disassemble, decrypt, or otherwise attempt to derive the source code of Nova; 

  2. Modify, adapt, translate, or create derivative works based on Nova; 

  3. Remove, alter, or obscure any proprietary notices (e.g., copyright or trademark notices) affixed to or displayed in Nova; 

  4. Use Nova in any manner that infringes any applicable law, regulation, or third-party rights; 

  5. Use Nova in connection with any revenue-generating activities, unauthorized commercial endeavors, or promotional campaigns; 

  6. Share access to Nova over a network that enables concurrent use by multiple devices or users without express authorization; 

  7. Develop or use any application, device, or service that competes with, imitates, or substitutes Nova; 

  8. Transmit unsolicited commercial messages or use Nova to send automated queries to third-party platforms or services; 

  9. Use any proprietary component of Nova, including user interface elements or business logic, in the development of other software, services, or devices. 

Violation of any of the above may result in immediate suspension or termination of your access and legal action where appropriate. 

 

10. SOCIAL MEDIA ACCOUNT INTEGRATION

Nova may offer functionality that allows you to link or integrate your user account with one or more third-party social networking or service accounts (each, a “Third-Party Account”), such as accounts with Facebook, Google, Instagram, or others. This integration may occur through direct login credentials or authorization via the third-party’s authentication protocols. 

 

By linking a Third-Party Account to Nova, you acknowledge and agree to the following: 

Authorization and Warranties 

You represent and warrant that: 

 

You have full legal right and authority to disclose your Third-Party Account login credentials or to authorize Nova’s access; 

Your actions do not violate the applicable terms and conditions governing your use of the Third-Party Account; 

Granting such access does not obligate SalesWorks or its affiliates to pay any fees or comply with third-party limitations. 

 

Information Access and Sharing 

Upon linking, you expressly authorize us to: 

 

Access, retrieve, store, and display content from your Third-Party Account (e.g., name, email, profile image, friends or connections, social media content); 

Submit information back to the Third-Party Account to enhance your Nova experience, such as suggesting friends or content; 

Identify mutual Nova users based on your contacts from email address books or mobile devices, if permitted by your device settings and local law. 

 

Privacy Settings and Limitations 

Your ability to control what information is accessed and shared will depend on the privacy settings you maintain in each respective Third-Party Account. The scope of information made available via Nova will be limited by your configured permissions. 

 

Termination of Integration 

If the linked Third-Party Account or its services become disabled, restricted, or terminated, you acknowledge that related content or functionality (e.g., imported contacts or profile syncing) may cease to be available through Nova. 

You may disconnect a Third-Party Account at any time via Nova’s settings or by contacting our support team. Upon disconnection, we will use reasonable efforts to delete any data obtained from such account except for any username, profile image, or metadata retained for platform continuity. 

 

Third-Party Relationship Disclaimer 

Your relationship with the provider of each Third-Party Account is governed solely by your agreement(s) with them. SalesWorks is not responsible for the accuracy, legality, or content of information retrieved from or posted to such platforms. 

 
 

11. SUBMISSIONS

By voluntarily submitting to SalesWorks Group or its affiliates any ideas, feedback, suggestions, proposals, concepts, questions, improvements, or other information relating to Nova, whether submitted through the app, email, surveys, support channels, or any other medium (“Submissions”), you acknowledge and agree as follows: 

 

Non-Confidential and Unsolicited Nature 

All Submissions shall be deemed non-confidential and unsolicited. You acknowledge that we are under no obligation—express or implied—to treat the Submissions as proprietary, to keep them confidential, or to provide acknowledgement, compensation, or attribution for their use. 

 

Ownership and Use Rights 

Upon submission, you grant SalesWorks Group and its Affiliates a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, exclusive license to use, reproduce, publish, modify, distribute, sublicense, display, perform, and commercialize the Submissions in any manner and for any purpose—whether now known or developed in the future. 

 

Waiver of Moral Rights 

To the fullest extent permitted by applicable law, you waive any and all moral rights (including rights of attribution and integrity) in connection with your Submissions, and you further warrant that no such rights have been asserted by third parties. 

 

Warranties and Representations 

You represent and warrant that: 

 

The Submissions are your original work or that you otherwise have all necessary rights and permissions to submit them; 

Your Submissions do not violate the intellectual property, confidentiality, or data protection rights of any third party; 

You understand and accept that SalesWorks may be independently developing, or may already have developed, similar ideas without any obligation to you. 

 

No Recourse 

You agree that you shall not assert any claim, demand, or action against SalesWorks relating to the use, development, or commercialization of any Submission you provide. 

 

12. THIRD-PARTY LINKS AND CONTENT

Nova may include links to external websites, services, or content operated, provided, or otherwise made available by third parties (“Third-Party Websites”) as well as integrated media such as articles, images, audio, video, software, widgets, or applications originating from third-party sources (“Third-Party Content”). 

 

You acknowledge and agree that: 

 

Disclaimer of Responsibility 

We do not own, operate, endorse, or control any Third-Party Websites or Third-Party Content that may be accessible through Nova. Such materials are provided solely as a convenience, and we do not conduct any review, verification, or approval of their accuracy, relevance, legality, or suitability. 

 

No Endorsement or Affiliation 

The inclusion of links to or content from third-party sources does not constitute an endorsement, sponsorship, or affiliation by SalesWorks with the Third-Party Website, provider, or content. Any interactions you have with such third parties are strictly between you and them. 

 

At Your Own Risk 

If you choose to access or use Third-Party Websites or Content, you do so entirely at your own risk. Once you leave Nova or engage with external content, these Terms no longer apply. You are solely responsible for reviewing and complying with the relevant terms, conditions, and privacy practices of the third party. 

 

Privacy and Data Practices 

We are not responsible for any personal data you choose to share with or through any Third-Party Website or Content. Your interactions may be subject to data collection, tracking technologies, and analytics that we do not control. We strongly recommend reviewing their privacy notices and cookie policies before engaging. 

 

Third-Party Transactions 

Any purchases or transactions made via Third-Party Websites are conducted directly with the applicable third party, not with SalesWorks. We make no warranties or representations and disclaim all liability regarding any such transaction, including delivery, accuracy, refund policies, or fitness for purpose. 

 

Limitation of Liability 

You agree to indemnify and hold SalesWorks harmless from and against any loss, liability, damage, or expense arising from or related to your interaction with Third-Party Content, Third- Party Websites, or any third-party products or services. 

 

13. ADVERTISING AND PROMOTIONS

Nova may display advertisements, sponsored content, promotional materials, or marketing messages from third parties (“Advertisements”) in designated areas of the platform, including but not limited to banners, sidebars, interstitials, or within user interfaces. 

 

For Users: 

The presence of Advertisements does not constitute an endorsement, recommendation, or affiliation by SalesWorks. 

SalesWorks does not control the content, accuracy, legality, or quality of third-party advertising and disclaims all liability for any claims, losses, or damages arising from your engagement with advertised products or services. 

Any interactions, purchases, or reliance on Advertisements are made entirely at your own risk and are governed solely by the terms of the third-party advertiser. 

 

For Advertisers: 

If you are an advertiser or sponsor posting content or promotions on Nova, you agree to the following: 

 

Responsibility and Legal Compliance 

You are solely responsible for the content, accuracy, and legality of your Advertisements, including compliance with applicable consumer protection, marketing, data privacy, and intellectual property laws. 

 

Warranties and Rights 

You represent and warrant that you: 

 

Have full legal rights, licenses, and authority to display your Advertisements on Nova; 

Have obtained all necessary consents, clearances, and permissions, including but not limited to copyright, trademark, publicity, and contract rights; 

Will not post deceptive, misleading, harmful, or unlawful content. 

 

No Partnership or Agency 

SalesWorks merely provides a digital space for the placement of Advertisements and does not act as an agent, reseller, or co-promoter. No partnership, joint venture, or fiduciary relationship is formed through your use of Nova’s advertising tools. 

 

Right to Review and Remove 

We reserve the right, at our sole discretion and without prior notice, to reject, remove, or reclassify any Advertisement that we believe may be harmful, infringe rights, mislead users, or violate applicable laws or these Terms. 

 

14. APP MANAGEMENT AND ENFORCEMENT

We reserve full rights but not the obligation to oversee and manage Nova in a manner that upholds platform integrity, security, legal compliance, and user experience. Without limiting the generality of the foregoing, we expressly reserve the right to: 

 

Monitor and Audit 

Actively monitor Nova, including user activity and content submissions, for any actual or suspected violations of these Terms of Use, applicable laws, or community standards. 

 

Investigate and Enforce 

Take any enforcement action we deem appropriate in our sole discretion, including but not limited to: 

 

Issuing warnings or notifications; 

Restricting, suspending, or terminating user accounts; 

Disabling access to specific features or content; 

Reporting conduct to appropriate law enforcement or regulatory authorities. 

 

Restrict Content and Access 

Refuse, restrict, limit, or disable—without prior notice—any Contribution or account that, in our judgment: 

 

Violates these Terms; 

Harms the platform, users, or third parties; 

Consumes excessive system resources or bandwidth. 

 

System and Content Controls 

Remove or disable access to content, data, files, or media that are outdated, unnecessary, unlawful, technically burdensome, or inconsistent with Nova’s operational objectives. 

 

Platform Governance 

Administer Nova in a manner that protects our proprietary rights, mitigates risk, ensures platform performance, and promotes a safe and lawful environment for all users. 

 

Nothing in this section shall be interpreted as obligating SalesWorks to take action in response to every violation or concern reported. We reserve full discretion over enforcement timing, methods, and remedies. 

 

15. PRIVACY POLICY

We are committed to safeguarding your personal data and maintaining robust data privacy and security standards. Your use of Nova is subject to our Privacy Policy, which forms an integral part of these Terms of Use. 

By accessing or using Nova, you acknowledge and agree that: 

Binding Agreement 

You have read, understood, and agreed to be bound by our Privacy Policy, which governs how we collect, use, store, share, and protect personal information in connection with Nova and related services. 

Cross-Border Data Transfers 

Nova may be hosted or operated from servers located in jurisdictions outside of your own. If you access Nova from a location with data protection laws that differ from those of the hosting jurisdiction, you expressly consent to the transfer, processing, and storage of your personal data in accordance with the laws of the hosting jurisdiction, which may not provide the same level of protection as your home country. 

Legal Compliance 

We strive to comply with all applicable data protection laws and regulations, including but not limited to the Personal Data Protection Act (PDPA), General Data Protection Regulation (GDPR), and other relevant regional or industry-specific frameworks. 

Continued Use as Consent 

Your continued use of Nova constitutes your acceptance of the Privacy Policy as updated from time to time. If you do not agree with our data handling practices, you must discontinue your use of Nova. 

For full details on how your personal information is handled, please refer to the latest version of our Privacy Policy, which may be updated periodically to reflect legal, operational, or technological changes. 

 
 

16. COPYRIGHT COMPLAINTS

SalesWorks respects the intellectual property rights of creators and third parties. If you believe that content available on or through Nova infringes upon your copyright or other proprietary rights, you may submit a formal notice of alleged infringement (“Notification”) to us using the contact details provided below. 

Your Notification must include the following details: 

We will respond to valid Notifications in accordance with applicable intellectual property laws and may, at our sole discretion: 

⚠️ Important Notice: Submitting false claims of infringement may expose you to legal liability, including damages. If you are uncertain whether material hosted on or linked to by Nova infringes your rights, you are strongly encouraged to consult with legal counsel before submitting a Notification. 

 

 

17. TERM AND TERMINATION

These Terms of Use shall remain in full force and effect for as long as you access or use Nova. Your access to Nova is granted at our discretion, and we may revoke it at any time without prior notice. 

We reserve the right, without liability or obligation, to:

Post-Termination Restrictions: 

If your account is terminated or suspended for any reason, you are strictly prohibited from: 

 

Legal Remedies: 

We reserve the right to pursue any and all appropriate legal remedies in response to violations of these Terms, including—without limitation—civil actions, criminal complaints, or injunctive relief. 

 

18. SERVICE MODIFICATIONS

We reserve the unrestricted right, at our sole discretion, to modify, suspend, update, discontinue, or otherwise alter any aspect of Nova including its features, functionalities, content, user interface, or availability at any time and for any reason, without prior notice or liability. 

This includes but is not limited to:

Your continued use of Nova following any such modifications constitutes your acceptance of those changes. If at any time you are dissatisfied with Nova, your sole and exclusive remedy is to discontinue use of the platform. 

Nothing in these Terms shall be construed to obligate us to provide any updates, enhancements, support, or future developments for Nova unless expressly required by law or separately agreed in writing. 

 
 

19. GOVERNING LAW

These Terms of Use, and any disputes or claims arising out of or in connection with your access to or use of Nova, shall be governed by and construed in accordance with the laws of the jurisdiction in which you reside or primarily use Nova, without giving effect to any choice or conflict of law provision or rule that would cause the laws of another jurisdiction to apply. 

 

To the extent permitted by applicable law, you agree that any legal action or proceeding arising under or relating to these Terms shall be submitted to the competent courts of your local jurisdiction, unless otherwise specified by applicable mandatory consumer protection laws or platform-specific agreements. 

 
 

20. DISPUTE RESOLUTION

Informal Resolution First 

To promote efficient resolution and minimize the costs and time associated with formal legal proceedings, both you and SalesWorks (each a “Party,” and collectively, the “Parties”) agree to make a good faith effort to resolve any dispute, controversy, or claim arising out of or relating to these Terms of Use or your use of Nova (each a “Dispute”) through informal negotiations before initiating arbitration, litigation, or other legal action. 

Such informal negotiations shall begin upon written notice from one Party to the other and must continue for a minimum period of fourteen (14) business days from the date the notice is received, unless otherwise mutually agreed in writing. 

Both Parties agree to cooperate sincerely and promptly in attempting to resolve the Dispute during this period.   3. Your breach or alleged breach of these Terms of Use; 

  4. Your violation of any applicable law, regulation, or third-party right (including, without limitation, any intellectual property, privacy, or proprietary right);

  6. Any harmful, negligent, or unlawful act committed by you in connection with another user of Nova. 

We reserve the right, at your cost and upon notice to you, to assume the exclusive defense and control of any claim subject to indemnification by you.
